Terms and Conditions of Use

The information contained on this Investor Portal (the “Portal”) is intended solely for use by investors in funds managed by Aruwa Capital Management (“Aruwa”) (each, an “Investor”) and their duly authorised employees, agents, and legal representatives, together with those of Aruwa (each, an “Authorised User”). These Terms and Conditions govern the use of the Portal by Authorised Users. Aruwa reserves the right to amend these Terms and Conditions at any time. Continued use of the Portal following the posting of any amendments constitutes the Authorised User’s acceptance of the revised Terms and Conditions.

The information made available on this Portal is provided in accordance with the relevant Fund’s Constitution between Aruwa and its Investors, the Investor’s consent, the Fund’s offering documents, and applicable laws and regulations.

The Portal is securely maintained and password protected, and Aruwa shall use its best efforts to keep the information stored on it secure. The Authorised User consents to receive through the Portal — audited accounts, capital account statements, portfolio reports; and such other reports and information as Aruwa may determine from time to time.

Aruwa shall issue each Authorised User with a username and password, which will be sent to the Authorised User’s registered email address. For the avoidance of doubt, the access provided to Investors is granted pursuant to instructions issued by the relevant Fund to Aruwa. Each Authorised User undertakes to keep their username and password strictly confidential and agrees to notify Aruwa immediately of any suspected unauthorised access to, or use of, their credentials.

All documents, financial data, and fund information accessed through this Portal are proprietary and confidential to Aruwa and the relevant Fund. The Authorised User agrees not to share, reproduce, forward, publish, or otherwise distribute any content retrieved from this Portal, in whole or in part, without Aruwa’s prior written consent.

Nothing contained on this Portal constitutes investment advice, a solicitation, recommendation, endorsement, or offer to buy or sell any security or other financial instrument. Past performance is not indicative of future results. Any investment decision should be made solely on the basis of the definitive offering documents of the relevant Fund.

Aruwa reserves the right to revoke access to this Portal at any time and for any reason, without prior notice. These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria and the Republic of Mauritius, as applicable. Any dispute arising out of or in connection with the use of this Portal shall be subject to the exclusive jurisdiction of the courts of those jurisdictions.
